Company Structure, Executive Leadership

Acquisition Financial Details

Under the terms of the merger, Time Warner Inc. shareholders received 1.4 shares of AT&T common stock, in addition to $53.75 in cash, per share of Time Warner Inc. As a result, AT&T issued 1,185M shares of common stock and paid $42.5B in cash. Including net debt from Time Warner, we now have $180.4B in net debt.

We will begin consolidating Time Warner Inc. results effective June 15, 2018.

The company expects the acquisition to provide significant financial benefits:

    Accretive year-one adjusted earnings per share and free cash flow; strengthened dividend coverage
    Increased synergies to $2.5 billion
        $1.5 billion in annualized cost synergies by end of year 3 following close
        $1 billion of annualized revenue synergies by end of year 3
    Maintain solid balance sheet and improved credit metrics
        Net debt to adjusted EBITDA 2.9x at close
        2.5x at end of year 1; return to historical levels by end of year 4

Principal Photography Begins on "Wonder Woman 1984"

Director Patty Jenkins Reteams with Star Gal Gadot for the DC Super Hero’s Return to the Big Screen

BURBANK, Calif.--(BUSINESS WIRE)--Fast forward to the 1980s as Wonder Woman’s next big screen adventure finds her facing an all-new foe: The Cheetah. Principal photography is underway on Warner Bros. Pictures’ follow up to the Super Hero’s first outing, last summer’s record-breaking “Wonder Woman,” which took in $822 million at the worldwide box office. “Wonder Woman 1984” will also be helmed by acclaimed director Patty Jenkins, and star Gal Gadot in the title role.

As previously announced, the film also stars Kristen Wiig in the role of the Super-Villain The Cheetah, as well as Pedro Pascal. And Chris Pine returns as Steve Trevor.

Charles Roven, Deborah Snyder, Zack Snyder, Patty Jenkins, Stephen Jones and Gal Gadot are producing the film. Rebecca Roven Oakley, Richard Suckle, Wesley Coller, Geoff Johns and Walter Hamada are the executive producers.

Joining her behind the scenes are several members of Jenkins’ “Wonder Woman” team, including director of photography Matthew Jensen, Oscar-nominated production designer Aline Bonetto (“Amélie”), and Oscar-winning costume designer Lindy Hemming (“Topsy-Turvy”). Oscar-nominated editor Richard Pearson (“United 93”) will cut the film.

Production will take place in Washington, D.C., Alexandria, Virginia, and in the UK, Spain and the Canary Islands.

Set to open in theaters November 1, 2019, “Wonder Woman 1984” is based on the character created by William Moulton Marston, appearing in comic books published by DC Entertainment (DC Comics). It will be distributed worldwide by Warner Bros. Pictures, a Warner Bros. Entertainment Company.

Image Comics Announces New Creative Team for "Kick-Ass" Comic Book

KICK-ASS INTRODUCES NEW CREATIVE TEAM AND LAUNCHES NEW STORY ARC

PORTLAND, OR — Image Comics is pleased to announce that KICK-ASS #7 will launch an exciting new story arc for the series and introduce an all-new creative team to the KICK-ASS brand—Steve Niles and Marcelo Frusin—who will succeed original series creators Mark Millar and John Romita Jr.

“When we sold Millarworld to Netflix, the one and only downside was not being able to write more Kick-Ass with my new executive role, and so I did the next best thing—I got my favourite writer to continue Patience Lee’s adventures,” said Millar. “Steve Niles is without question my favourite writer in comics, and I rank 30 Days of Night as my favourite graphic novel of the last 20 years. I’m honoured he’s taken the time to do this and slightly in awe that, like Jeff Lemire on Hit-Girl, he’s already outclassed me on this book. I finally get to enjoy Kick-Ass as a reader!”
